Item 1. Introduction
A. Childfree Wealth, LLC is registered with the Securities and Exchange Commission as an investment advisor and we provide investment advisory services rather than brokerage services. Investment advisory services and brokerage services and fees differ and it is important for the retail investor to understand the differences. This docu- ment gives you a summary of the types of services we provide and how you pay. Please ask us for more information.

Item 2. Relationships and Services
What investment services and advice can you provide me?
Description of Services: We provide financial planning and investment management services to retail investors. Monitoring: As a part of our standard services, we monitor your investment account on a quarterly basis or when an event triggers a review. Financial plans are reviewed on an ongoing basis to ensure the advisory services provided to you are consistent with your investment needs and objectives. Periodic reviews of questionnaires may result in recom- mendations to rebalance Client investment advisory portfolio’s.
Investment Authority: If we buy and sell investments in your account without asking you in advance, this is called “discretionary authority”. If we give you advice and you decide what investments to buy and sell, this is called “non-dis- cretionary authority”. We offer both discretionary and non-discretionary authority accounts.
Limited Investment Offerings: Our investment advice is not limited to a particular type of security. We provide advice on stocks, bonds, certificates of deposit, municipal securities, mutual funds and options in securities.
Account Minimums and other requirements: We do not have an account minimum.
Additional Information: Our firm was initially registered with the Securities and Exchange Commission (SEC) on 08/31/2022. The principal owner of the firm is Jay Zigmont, and the Chief Compliance Officer is Kingston Hollman (CCO). We offer investment advisory services to individuals, high net-worth individuals, charitable organizations, corpo- rations and other businesses.

Item 3. Fees, Costs, Conflicts, and Standard of Conduct
What fees will I pay?
Description of Principal Fees and Costs: The fee for comprehensive financial planning and investment management services is $,10,000 per year payable monthly in advance. The fee for self-directed financial planning is $50 payable monthly in advance. Our fee range for hourly financial planning is $300 – $500 per hour.
Description of Other Fees and Costs: You are responsible for all custodial and securities broker-dealer execution fees charged by the custodian and executing broker-dealer. Some investments (such as mutual funds) impose additional fees that will reduce the value of your investment over time.
Additional Information: You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying. Refer to our Form ADV Part 2A Brochure, Item 5.A.B.C.D. for more detailed information about our conflicts of interest that, at a minimum, must include the same or equivalent informa- tion to that required by the Form ADV, Part 2A brochure as required by Item 3.B.(iv) of Form CRS.

B. Standard of Conduct
When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. Here are some examples to help you understand what this means.

Childfree Wealth, LLC Financial Planning Agreement
THIS AGREEMENT between Childfree Wealth, LLC (“Advisor”) and the Client, is in effect from the time Advisor receives and accepts a copy of this Agreement executed by the Client. By signing this Agreement, the Client acknowledges en- gaging the Advisor to provide financial planning services to the client. Advisor does not offer asset management ser- vices and will not have discretionary authority.
1. Appointment as Financial Advisor: The Client hereby retains the Advisor and the Advisor hereby agrees to provide financial planning services to the client in accordance with the terms and conditions set forth
Comprehensive Financial Planning and Investment Management
Childfree Wealth provides financial planning, discretionary and non-discretionary investment management, and relat- ed advisory services. Childfree Wealth primarily employs an investment strategy which reflects a Client’s goals and risk tolerance. This service begins with Clients providing us with their personal and financial information to help complete the following areas of analysis: net worth, cash flow, insurance, credit scores/reports, employee benefits, retirement planning, insurance, investments, college planning, and estate planning. As the market dictates, Childfree Wealth will rebalance when necessary.
Financial Planning Services
Financial planning begins with Clients providing us with their personal and financial information to help complete the following areas of analysis: net worth, cash flow, insurance, credit scores/reports, employee benefits, retirement plan- ning, insurance, investments, college planning, and estate planning. We will evaluate a Client’s current and future financial state by using currently known variables to predict future cash flows, asset values, and withdrawal plans. Cli- ents will receive an electronic report, providing the Client with a detailed financial plan designed to achieve his or her stated financial goals and objectives.
2. Fiduciary Statement: Childfree Wealth, LLC acknowledges fiduciary status for itself and its Childfree Wealth, LLC and its Advisors adhere to basic standards of impartial conduct. In particular, under this standards-based approach, Childfree Wealth, LLC and its advisors give prudent advice that is in the customer’s best interest, avoid mis- leading statements, and receive no more than reasonable compensation.
3. Confidential Relationship: Information received by Advisor from Client will be kept confidential by Advisor in a manner consistent with applicable law and with the Advisor’s Privacy Policy, which Client acknowledges receiving, and will be sent to Client annually, as required by All information or advice furnished by Advisor to Client shall be treat- ed as confidential and not be disclosed by Client except as required by law. Client authorizes the disclosure of informa- tion to other financial and legal professionals pertaining to the Clients accounts. This authorization shall remain effec- tive until termination of this agreement.
4. Code of Ethics Client acknowledges that Advisor has made Client aware that Advisor has a Code of Ethics, which is described on Advisor’s Form ADV, Part 2, and which will be provided to Client upon
5. Fees: The fees shall be calculated and paid in accordance with the rate and payment terms and conditions set forth in the attached fee (Schedule A). Similar services may be available elsewhere for a lower fee. We do not solicit prepayment of more than $1,200 in fees per Client six months or more in advance of the fee being earned. Advisor is not compensated based on performance fees or on any capital gain.
6. Electronic Communications Acceptable: The Client consents to electronic delivery of required disclosure docu- ments and other communications by the Advisor. Such consent will remain effective unless revoked by the Client. The Advisor may transmit information by email in text, PDF, Microsoft Word, or other formats that can be readily viewed, printed, and saved. Meetings may be recorded for quality purposes, training, and follow-up. We utilize a meeting recorder (software) for notetaking and you may see it in the By participating in any meeting, you are providing affirmative consent to being recorded and the use of our meeting recorder. The Client has provided the Advisor with one or more valid email addresses that the Advisor may use to communicate with the Client. The Client may revoke its consent to receive communications electronically at any time by notifying the Advisor.
7. Receipt of Form ADV Part 2A, and Form CRS: Client acknowledges receipt from Advisor of a copy of Advisor’s Form ADV, Parts 2A and Form The client has the right to terminate the contract without penalty or fees within five (5) business days after entering into the contract. For the purposes of this provision, a contract is considered entered into when all parties to the contract have signed the contract or any other provisions of this contract notwithstanding. The Client shall be provided with an updated Form ADV, Part 2A on an annual basis and when material changes occur. Advi- sor’s Form ADV, Part 2A & Form CRS, is also currently available on http://www.Adviserinfo.sec.gov/.
8. Limited Liability: The Advisor, its officers, directors, employees, and agents shall not be responsible for any loss, claim, cost or liability incurred by reason of any independent act or omission by any broker, dealer, custodian or other third However, the Advisor may be responsible for any act or failure to act by a third party, if it was pursuant to the Advisor’s instructions to the third party or involved a violation of applicable laws or breach of fiduciary duty. This provision only applies to independent acts by the third party.
9. Non-waiver of Rights by Client: Federal and state securities laws impose certain obligations on persons acting in good faith, and as such, nothing in this Agreement shall result in any waiver of any or all of the rights which the Client shall otherwise enjoy under the federal and state securities

Termination/Assignment: Neither party may assign this agreement without the prior written consent of the other This agreement shall be in effect until either party gives written notice to the other party of its intention to termi- nate the agreement. This agreement may be terminated, without penalty, according to the termination provisions listed with each service provided below in (Schedule A).
11. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state in which the client resides, to the extent the laws of the state where the client resides are not inconsistent with other fed- eral or state laws or regulations.
12. Venue: In the event that any dispute shall arise by and between the parties, it is hereby agreed that any litigation, cause, suit, arbitration, mediation or any other proceeding shall take place in the state in which the client resides.
13. Client Conflicts: If this Agreement is with more than one client, our Services shall be based upon the joint goals as communicated to us by the Clients, We shall be permitted to rely upon instructions and/or information we receive from either party, unless and until such reliance is revoked in writing to us. We shall not be responsible for any claims or damages resulting from such reliance or from any change in the status of the relationship between Clients.
14. Miscellaneous: All paragraph headings in this Agreement are for convenience of reference only, do not form part of this Agreement, and shall not affect in any way the meaning or interpretation of this If any provision herein is or should become inconsistent with any present or future law, rule or regulation of any governmental or regulatory body having jurisdiction over the subject matter of this Agreement, such provision shall be deemed to be rescinded or modified in accordance with any such law, rule or regulation. In all other respects, this Agreement shall continue and remain in full force and effect. No term or provision of this Agreement may be waived or modified unless in writing and signed by the party against whom such waiver or modification is sought to be enforced. This Agreement contains the entire understanding between Client and Advisor concerning the subject matter of this Agreement. To the extent that this Agreement is inconsistent with any other agreement governing the Client’s Account, the provisions of this Agree- ment shall govern. Client agrees that this Agreement shall be binding upon Client’s heirs, executors, administrators, and personal representatives. All notifications required to be sent shall be sent: if to Advisor, to the Advisor’s address contained in this Agreement or such other address as may later be designated; if to Client, to Client’s address as provid- ed to Advisor at the time this Agreement is entered into, or such other address as may later be designated.
15. Effective Date: This Agreement will be effective upon execution by both the Advisor and the

Please note, unless a Client has received this brochure at least 48 hours prior to signing a Financial Planning Agreement (collectively, “Client Contract”), the Client Contract may be terminated by the Client within five (5) business days of signing the Client Contract without incurring any fees. How we are paid depends on the type of advisory services we perform. Below is a brief description of our fees, however, you should review your executed Client Contract for more detailed information regarding the exact fees you will be paying. Similar services may be available elsewhere for a lower fee.
Comprehensive Financial Planning and Investment Management
The fee for this service is $10,000 per year payable monthly in advance. This service includes comprehensive financial planning, investment advice, and/or investment management. This service also includes access to our Childfree Wealth Academy, financial planning software, and regular meetings with a Childfree Wealth Specialist. The fee for this service is negotiable at the firm’s discretion.
This service may be terminated with a 30 day notice. In the event of early termination, any prepaid but unearned fees will be refunded to the Client via our payment processing system, any deliverables of the financial plan will be provided to the Client, and no further fees will be charged. Fees for this service may be paid by electronic funds transfer, credit card, or deducted from the client’s accounts.
This fee is subject to a 3% inflation rate. The price will be adjusted in $1,000 increments every three years on a regular basis to reflect this. (for example, in 2025 the rate is $10,000, in 2028 it will be $11,000, and adjusted every three years thereafter)
Self-Directed Financial Planning – Childfree Wealth Academy
The fee for this service is $50 payable monthly in advance. This service includes access to our Childfree Wealth Acade- my, financial planning software, and regular group Q&A sessions. The fee for this service is negotiable at the firm’s dis- cretion.
This service may be terminated with a 30 day notice. In the event of termination, the service fee will be prorated and refunded to the client. Fees for this service may be paid by electronic funds transfer or credit card.
Hourly Financial Planning
The fee for this service is $300-$500 per hour, billed in 60 minute increments. Hourly financial planning is limited to 1 hour, and ongoing support or monitoring is not included with this service. The fee is negotiable at the firm’s discretion.
Fees for this service may be paid by electronic funds transfer or credit card. In the event of early termination, any pre- paid but unearned fees will be refunded to the Client via our payment processing system, any deliverables of the finan- cial plan will be provided to the Client, and no further fees will be charged.

Description of Advisory Firm
Childfree Wealth, LLC (hereinafter referred to as “CW”, “we”, “firm”, and “us”) became registered as an Investment Ad- viser in 2021. We are exclusively a web-based investment adviser organized as a limited liability corporation registered with the securities exchange commission. Jason “Jay” Zigmont is the principal owner of CW. Our Chief Compliance Offi- cer is Kingston Hollman.
Comprehensive Financial Planning and Investment Management
Childfree Wealth provides financial planning, discretionary and non-discretionary investment management, and relat- ed advisory services. Childfree Wealth primarily employs an investment strategy which reflects a Client’s goals and risk tolerance. This service begins with Clients providing us with their personal and financial information to help complete the following areas of analysis: net worth, cash flow, insurance, credit scores/reports, employee benefits, retirement planning, insurance, investments, college planning, and estate planning. As the market dictates, Childfree Wealth will rebalance when necessary.
If you participate in our discretionary portfolio management services, we require you to grant our firm discretionary authority to manage your account. Discretionary authorization will allow us to determine the specific securities, and the amount of securities, to be purchased or sold for your account without your approval prior to each transaction. Discretionary authority is typically granted by the investment advisory agreement you sign with our firm and the ap- propriate trading authorization forms.
You may limit our discretionary authority (for example, limiting the types of securities that can be purchased or sold for your account) by providing our firm with your restrictions and guidelines in writing.
We also offer non-discretionary portfolio management services. If you enter into non-discretionary arrangements with our firm, we must obtain your approval prior to executing any transactions on behalf of your account. You have an un- restricted right to decline to implement any advice provided by our firm on a non-discretionary basis.
Financial Planning Services
Financial planning begins with Clients providing us with their personal and financial information to help complete the following areas of analysis: net worth, cash flow, insurance, credit scores/reports, employee benefits, retirement plan- ning, insurance, investments, college planning, and estate planning. We will evaluate a Client’s current and future financial state by using currently known variables to predict future cash flows, asset values, and withdrawal plans. Cli- ents will receive an electronic report, providing the Client with a detailed financial plan designed to achieve his or her stated financial goals and objectives.
In general, the financial plan will address any or all of the following areas of concern. These areas may include, but are not limited to, the following:
Business Planning: We provide consulting services for Clients who currently operate their own business, are consider- ing starting a business, or are planning for an exit from their current business. Under this type of engagement, we work with you to assess your current situation, identify your objectives, and develop a plan aimed at achieving your goals.
Cash Flow and Debt Management: We will conduct a review of your income and expenses to determine your current surplus or deficit along with advice on prioritizing how any surplus should be used or how to reduce expenses if they exceed your income. Advice may also be provided on which debts to pay off first based on factors such as the interest rate of the debt and any income tax ramifications. We may also recommend what we believe to be an appropriate cash reserve that should be considered for emergencies and other financial goals, along with a review of accounts (such as money market funds) for such reserves, plus strategies to save desired amounts.
College Savings: Includes projecting the amount that will be needed to achieve college or other post-secondary e education funding goals, along with advice on ways for you to save the desired amount. Recommendations as to sav- ings strategies are included, and, if needed, we will review your financial picture as it relates to eligibility for financial aid or the best way to contribute to children and grandchildren (if appropriate).
Employee Benefits Optimization: We will provide review and analysis as to whether you, as an employee, are taking the
maximum advantage possible of your employee benefits. If you are a business owner, we will consider and/or recom- mend the various benefit programs that can be structured to meet both business and personal retirement goals.
Estate Planning: This usually includes an analysis of your exposure to estate taxes and your current estate plan, which may include whether you have a will, powers of attorney, trusts, and other related documents. Our advice also typically includes ways for you to minimize or avoid future estate taxes by implementing appropriate estate planning strategies such as the use of applicable trusts. We always recommend that you consult with a qualified attorney when you initi- ate, update, or complete estate planning activities. We may provide you with contact information for attorneys who specialize in estate planning when you wish to hire an attorney for such purposes. From time-to-time, we will partici- pate in meetings or phone calls between you and your attorney with your approval or request.
Financial Goals: We will help Clients identify financial goals and develop a plan to reach them. We will identify what you plan to accomplish, what resources you will need to make it happen, how much time you will need to reach the goal, and how much you should budget for your goal.
Insurance: Review of existing policies to ensure proper coverage for life, health, disability, long-term care, liability, home, and automobile.
Investment Analysis: This may involve developing an asset allocation strategy to meet Clients’ financial goals and risk tolerance, providing information on investment vehicles and strategies, reviewing employee stock options, as well as assisting you in establishing your own investment account at a selected broker/dealer or custodian. The strategies and types of investments we may recommend are further discussed in Item 8 of this brochure.
Retirement Planning: Our retirement planning services typically include projections of your likelihood of achieving your financial goals, typically focusing on financial independence as the primary objective. For situations where projec- tions show less than the desired results, we may make recommendations, including those that may impact the original projections by adjusting certain variables (e.g., working longer, saving more, spending less, taking more risk with investments).
If you are near retirement or already retired, advice may be given on appropriate distribution strategies to minimize the likelihood of running out of money or having to adversely alter spending during your retirement years.
Risk Management: A risk management review includes an analysis of your exposure to major risks that could have a significant adverse impact on your financial picture, such as premature death, disability, property and casualty losses, or the need for long-term care planning. Advice may be provided on ways to minimize such risks and about weighing the costs of purchasing insurance versus the benefits of doing so and, likewise, the potential cost of not purchasing insurance (“self-insuring”).
Tax Planning Strategies: Advice may include ways to minimize current and future income taxes as a part of your over- all financial planning picture. For example, we may make recommendations on which type of account(s) or specific investments should be owned based in part on their “tax efficiency,” with the consideration that there is always a pos- sibility of future changes to federal, state or local tax laws and rates that may impact your situation.
We recommend that you consult with a qualified tax professional before initiating any tax planning strategy, and we
may provide you with contact information for accountants or attorneys who specialize in this area if you wish to hire someone for such purposes. We will participate in meetings or phone calls between you and your tax professional with your approval.
Wrap Fee Programs
We do not participate in wrap fee programs.

Other Types of Fees and Expenses
When implementing an investment recommendation, the Client may incur additional fees such as brokerage commis- sions, transaction fees, and other related costs and expenses. Clients may incur certain charges imposed by bro-ker-dealers, and other third parties such as custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer, and electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions. Mutual fund and exchange-traded funds also charge internal management fees, which are disclosed in a fund’s pro- spectus. Such charges, fees, and commissions are exclusive of and in addition to our fee, and we shall not receive any portion of these commissions, fees, and costs.
Item 12 further describes the factors that we consider in selecting or recommending broker-dealers for Client’s transac- tions and determining the reasonableness of their compensation (e.g., commissions).
We do not accept compensation for the sale of securities or other investment products including asset-based sales charges or service fees from the sale of mutual funds.

We provide investment management, and financial planning services to individuals, high net-worth individuals, chari- table organizations, corporations and other businesses.

Item 8: Methods of Analysis, Investment
Strategies and Risk of Loss
Our primary analysis strategy is based on a Passive Investment approach.
Passive Investment Management We primarily offer passive investment advice. Passive investing involves building port- folios that are composed of various distinct asset classes. The asset classes are weighted in a manner to achieve the desired relationship between correlation, risk, and return. Funds that passively capture the returns of the desired asset classes are placed in the portfolio. The funds that are used to build passive portfolios are typically index mutual funds or exchange-traded funds.
Passive investment management is characterized by low portfolio expenses (i.e. the funds inside the portfolio have low internal costs), minimal trading costs (due to infrequent trading activity), and relative tax efficiency (because the funds inside the portfolio are tax efficient and turnover inside the portfolio is minimal).
In contrast, active management involves a single manager or managers who employ some method, strategy or tech- nique to construct a portfolio that is intended to generate returns that are greater than the broader market or a desig- nated benchmark.
Using a long-term passive strategy generally assumes the financial markets will go up in the long-term which may not be the case. There is also the risk that the segment of the market that you are invested in or perhaps just your particu- lar investment will go down over time even if the overall financial markets advance.
Material Risks Involved
CW does not provide investment management, however investment recommendations may be made as part of the financial planning services. All investing strategies we offer involve risk and may result in a loss of your original invest- ment which you should be prepared to bear. Many of these risks apply equally to stocks, bonds, commodities, and any other investment or security. Material risks associated with our investment strategies are listed below.
Market Risk: Market risk involves the possibility that an investment’s current market value will fall because of a general
market decline, reducing the value of the investment regardless of the operational success of the issuer’s operations or its financial condition.
Strategy Risk: The Adviser’s investment strategies and/or investment techniques may not work as intended.
Small and Medium Cap Company Risk: Securities of companies with small and medium market capitalizations are often more volatile and less liquid than investments in larger companies. Small and medium cap companies may face a greater risk of business failure, which could increase the volatility of the Client’s portfolio.
Limited markets: Certain securities may be less liquid (harder to sell or buy) and their prices may at times be more volatile than at other times. Under certain market conditions, we may be unable to sell or liquidate investments at prices we consider reasonable or favorable or find buyers at any price.
Concentration Risk: Certain investment strategies focus on particular asset-classes, industries, sectors or types of investment. From time to time these strategies may be subject to greater risks of adverse developments in such areas of focus than a strategy that is more broadly diversified across a wider variety of investments.
Interest Rate Risk: Bond (fixed income) prices generally fall when interest rates rise, and the value may fall below par value or the principal investment. The opposite is also generally true: bond prices generally rise when interest rates fall. In general, fixed income securities with longer maturities are more sensitive to these price changes. Most other invest- ments are also sensitive to the level and direction of interest rates.
Legal or Legislative Risk: Legislative changes or Court rulings may impact the value of investments, or the securities’ claim on the issuer’s assets and finances.
Inflation: Inflation may erode the buying power of your investment portfolio, even if the dollar value of your invest- ments remains the same.
Risks Associated with Securities
Apart from the general risks outlined above which apply to all types of investments, specific securities may have other risks.
Commercial Paper is, in most cases, an unsecured promissory note that is issued with a maturity of 270 days or less. Being unsecured the risk to the investor is that the issuer may default.
Common stocks may go up and down in price quite dramatically, and in the event of an issuer’s bankruptcy or restruc- turing could lose all value. A slower-growth or recessionary economic environment could have an adverse effect on the price of all stocks.
Corporate Bonds are debt securities to borrow money. Generally, issuers pay investors periodic interest and repay the amount borrowed either periodically during the life of the security and/or at maturity. Alternatively, investors can pur- chase other debt securities, such as zero coupon bonds, which do not pay current interest, but rather are priced at a discount from their face values and their values accrete over time to face value at maturity. The market prices of debt securities fluctuate depending on factors such as interest rates, credit quality, and maturity. In general, market prices of debt securities decline when interest rates rise and increase when interest rates fall. The longer the time to a bond’s maturity, the greater its interest rate risk.
Bank Obligations including bonds and certificates of deposit may be vulnerable to setbacks or panics in the banking industry. Banks and other financial institutions are greatly affected by interest rates and may be adversely affected by downturns in the U.S. and foreign economies or changes in banking regulations.
Municipal Bonds are debt obligations generally issued to obtain funds for various public purposes, including the con- struction of public facilities. Municipal bonds pay a lower rate of return than most other types of bonds.
However, because of a municipal bond’s tax-favored status, investors should compare the relative after-tax return to the after-tax return of other bonds, depending on the investor’s tax bracket. Investing in municipal bonds carries the same general risks as investing in bonds in general. Those risks include interest rate risk, reinvestment risk, inflation risk, market risk, call or redemption risk, credit risk, and liquidity and valuation risk.
Options and other derivatives carry many unique risks, including time-sensitivity, and can result in the complete loss of principal. While covered call writing does provide a partial hedge to the stock against which the call is written, the hedge is limited to the amount of cash flow received when writing the option. When selling covered calls, there is a risk the underlying position may be called away at a price lower than the current market price.
Exchange Traded Funds prices may vary significantly from the Net Asset Value due to market conditions. Certain Ex- change Traded Funds may not track underlying benchmarks as expected. ETFs are also subject to the following risks: (i) an ETF’s shares may trade at a market price that is above or below their net asset value; (ii) the ETF may employ an investment strategy that utilizes high leverage ratios; or (iii) trading of an ETF’s shares may be halted if the listing ex- change’s officials deem such action appropriate, the shares are de-listed from the exchange, or the activation of mar- ket-wide “circuit breakers” (which are tied to large decreases in stock prices) halts stock trading generally. The Adviser has no control over the risks taken by the underlying funds in which the Clients invest.
Mutual Funds: When a Client invests in open-end mutual funds or ETFs, the Client indirectly bears its proportionate share of any fees and expenses payable directly by those funds. Therefore, the Client will incur higher expenses, many of which may be duplicative. In addition, the Client’s overall portfolio may be affected by losses of an underlying fund and the level of risk arising from the investment practices of an underlying fund (such as the use of derivatives).

No CW employee is registered, or has an application pending to register, as a broker-dealer or a registered representa- tive of a broker-dealer.
No CW employee is registered, or has an application pending to register, as a futures commission merchant, commodi- ty pool operator or a commodity trading advisor.
CW does not have any related parties. As a result, we do not have a relationship with any related parties.
CW only receives compensation directly from Clients. We do not receive compensation from any outside source. We do not have any conflicts of interest with any outside party.
CW publishes and authors books, provides educational seminars, and publishes articles for compensation.
Item 11: Code of Ethics, Participation or Interest in Client Transactions and Personal Trading
As a fiduciary, our firm and its associates have a duty of utmost good faith to act solely in the best interests of each Client. Our Clients entrust us with their funds and personal information, which in turn places a high standard on our conduct and integrity. Our fiduciary duty is a core aspect of our Code of Ethics and represents the expected basis of all of our dealings. The firm also adheres to the Code of Ethics and Professional Responsibility adopted by the CFP® Board of Standards Inc., and accepts the obligation not only to comply with the mandates and requirements of all applicable laws and regulations but also to take responsibility to act in an ethical and professionally responsible manner in all professional services and activities.
Code of Ethics Description
This code does not attempt to identify all possible conflicts of interest, and literal compliance with each of its specific provisions will not shield associated persons from liability for personal trading or other conduct that violates a fiducia- ry duty to advisory Clients. We periodically review and amend our Code of Ethics to ensure that it remains current, and we require all firm access persons to attest to their understanding of and adherence to the Code of Ethics at least annually. Our firm will provide a copy of its Code of Ethics to any Client or prospective Client upon request.
Investment Recommendations Involving a Material Financial Interest and Conflicts of Interest
Neither our firm, its associates or any related person is authorized to recommend to a Client or effect a transaction for a Client, involving any security in which our firm or a related person has a material financial interest, such as in the ca- pacity as an underwriter, adviser to the issuer, etc.
Advisory Firm Purchase of Same Securities Recommended to Clients and Conflicts of Interest
Our firm and its “related persons” may buy or sell securities similar to, or different from, those we recommend to Cli- ents for their accounts. In an effort to reduce or eliminate certain conflicts of interest involving the firm or personal trading, our policy may require that we restrict or prohibit associates’ transactions in specific reportable securities transactions. Any exceptions or trading pre-clearance must be approved by the firm principal in advance of the trans- action in an account, and we maintain the required personal securities transaction records per regulation.
Trading Securities At/Around the Same Time as Client’s Securities
From time to time, our firm or its “related persons” may buy or sell securities for themselves at or around the same time as Clients. We will not trade non-mutual fund securities 5 days prior to the same security for Clients.
Item 12: Brokerage Practices
We recommend the brokerage and custodial services of Altruist Financial LLC (“Altruist”) or Charles Schwab & Co., Inc (“Schwab”). Your assets must be maintained in an account at a “qualified custodian,” generally a broker-dealer or bank. In recognition of the value of the services the Custodian provides, you may pay higher commissions and/or trading costs than those that may be available elsewhere.
We seek to recommend a custodian/broker that will hold your assets and execute transactions on terms that are, over- all, the most favorable compared to other available providers and their services. We consider various factors, including: Capability to buy and sell securities for your account itself or to facilitate such services.
The likelihood that your trades will be executed.
Availability of investment research and tools.
Overall quality of services.
Competitiveness of price.
Reputation, financial strength, and stability.
Existing relationship with our firm and our other clients.
Research and Other Soft Dollar Benefits
Childfree Wealth does not participate in soft dollar programs sponsored or offered by Altruist Financial LLC (“Altruist”) or Charles Schwab & Co., Inc (“Schwab”). Please see Item 14 below.
Brokerage for Client Referrals
We receive no referrals from a broker-dealer or third party in exchange for using that broker-dealer or third party. Clients Directing Which Broker/Dealer/Custodian to Use
We do recommend a specific custodian for Clients to use, however, Clients may custody their assets at a custodian of their choice. Clients may also direct us to use a specific broker-dealer to execute transactions. By allowing Clients to choose a specific custodian, we may be unable to achieve the most favorable execution of Client transaction and this may cost Clients money over using a lower-cost custodian.
Aggregating Trades
Commission costs per client (if applicable) may be lower on a particular trade if all clients in whose accounts the trade is to be made are executed at the same time. This is called aggregating trades. Instead of placing a number of trades for the same security for each account, we will, when appropriate, execute one trade for all accounts and then allocate the trades to each account after execution. If an aggregate trade is not fully executed, the securities will be allocated to client accounts on a pro-rata basis, except where doing so would create an unintended adverse consequence (For ex- ample, if a pro rata division would result in a client receiving a fraction of a share, or a position in the account of less than 1%.)
Item 13: Review of Accounts
Childfree Wealth will monitor your accounts on an ongoing basis and will conduct account reviews at least Annually, to ensure the advisory services provided to you are consistent with your investment needs and objectives.
In addition to the investment monitoring noted above, each Client account shall be reviewed at least annually. Reviews may be conducted more frequently at the Client’s request. Accounts may be reviewed as a result of major changes in economic conditions, known changes in the Client’s financial situation, and/or large deposits or withdrawals in the Cli- ent’s account[s]. The Client is encouraged to notify Childfree Wealth if changes occur in the Client’s personal financial situation that might adversely affect the Client’s investment plan. Additional reviews may be triggered by material market, economic or political events.
The Client will receive brokerage statements no less than quarterly from the Custodian. These brokerage statements are sent directly from the Custodian to the Client. The Client may also establish electronic access to the Custodian’s website so that the Client may view these reports and their account activity. Client brokerage statements will include all positions, transactions and fees relating to the Client’s account[s]. The Advisor will not provide Clients with periodic reports regarding their holdings, allocations, and performance.
Item 14: Client Referrals and Other Compensation
We do not receive any economic benefit, directly or indirectly, from any third party for advice rendered to our Clients. Nor do we, directly or indirectly, compensate any person who is not advisory personnel for Client referrals.
Item 15: Custody
Childfree Wealth does not accept custody of Client funds except in the instance of withdrawing Client fees. For Client accounts in which Childfree Wealth directly debits their advisory fee:
Childfree Wealth will send a copy of its invoice to the custodian at the same time that it sends the Client a copy.
The custodian will send at least quarterly statements to the Client showing all disbursements for the account, including the amount of the advisory fee.
The Client will provide written authorization to Childfree Wealth, permitting them to be paid directly for their accounts held by the custodian.
Clients should receive at least quarterly statements from the broker-dealer, bank or other qualified custodian that holds and maintains Client’s investment assets. We urge you to carefully review such statements and compare such official custodial records to the account statements or reports that we may provide to you. Our statements or reports may vary from custodial statements based on accounting procedures, reporting dates, or valuation methodologies of certain securities.
Item 16: Investment Discretion
Before we can buy or sell securities on your behalf, you must first sign our discretionary management agreement and the appropriate trading authorization forms.
If you enter into non-discretionary arrangements with our firm, we will obtain your approval prior to the execution of any transactions for your account(s). You have an unrestricted right to decline to implement any advice provided by our firm on a non-discretionary basis.
Item 17: Voting Client Securities
We do not vote Client proxies. Therefore, Clients maintain exclusive responsibility for: (1) voting proxies, and (2) acting on corporate actions pertaining to the Client’s investment assets. The Client shall instruct the Client’s qualified custodi- an to forward to the Client copies of all proxies and shareholder communications relating to the Client’s investment assets. If the Client would like our opinion on a particular proxy vote, they may contact us at the number listed on the cover of this brochure.
In most cases, you will receive proxy materials directly from the account custodian. However, in the event we were to receive any written or electronic proxy materials, we would forward them directly to you by mail, unless you have au- thorized our firm to contact you by electronic mail, in which case, we would forward you any electronic solicitation to vote proxies.
Item 18: Financial Information
Registered Investment Advisers are required in this Item to provide you with certain financial information or disclosures about our financial condition. We have no financial commitment that impairs our ability to meet contractual and fidu- ciary commitments to Clients, and we have not been the subject of a bankruptcy proceeding.
We do not have custody of Client funds or securities or require or solicit prepayment of more than $1200 in fees per Client six months in advance of the fee being earned.
